In this Notice of Decision I will explain my reasons. To meet the requirements of section 61 of the 
GIPA Act, I need to tel  you:

the reasons for my decision and the findings on any important questions of fact 
underlying those reasons; and

the general nature and format of the records containing the information you asked 
for, with reference to the relevant public interest considerations against disclosure 
(see the attached Schedule of Documents). 
Information not held by the University 
I am informed that Macquarie University does not hold a document within the scope of Point 5 of 
your application as set out above. The research is ongoing, and the Human Research Ethics 
Committee (HREC) approves research for a five (5) year period, contingent upon annual 
reports.  Accordingly, there has been no final report submitted for this research. 
I have determined, under section 58 1 (b) of the GIPA Act, that the information you seek is not held 
by the University. 
In my view, greater weight should be given to not releasing personal information in circumstances 
where the information is not publicly available and, on that basis, the personal information has been 
redacted.

Macquarie University’s System for Tracking Archives Records (STAR) based on OpenText Content 
Manager Software Version 24.4.4. was also searched for records relevant to this information access

The public interest test 
Under section 9(1) of the GIPA Act, you have a legally enforceable right to access the information you 
asked for, unless there is an overriding public interest against its disclosure. 
Further, under section 5 of the GIPA Act, there is a presumption in favour of disclosing government 
information unless there is an overriding public interest against its disclosure. 
To decide whether or not there is an overriding public interest against disclosure of the information 
you asked for, I applied the public interest test, which is set out in section 13 of the GIPA Act.   
I applied the public interest test by: 
(a) identifying any public interest considerations in favour of disclosure; 
(b) identifying any relevant public interest considerations against disclosure; and 
(c)  deciding where the balance between them lies.

I did this in the way required by section 15 of the GIPA Act, which is: 
(a) in a way that promotes the objects of the GIPA Act; 
(b) with regard to any relevant guidelines issued by the Information Commissioner; 
(c)  without taking into account the fact that disclosure of information may cause 
embarrassment to, or a loss of confidence in, the Government (as that fact is 
irrelevant); 
(d) without taking into account the fact that disclosure of information might be 
misinterpreted or misunderstood by any person (as that fact is irrelevant); and 
(e) with regard to the fact that disclosure cannot be made subject to any conditions on 
the use or disclosure of information. 
4.1  Public interest considerations in favour of disclosure  
Under section 12(1) of the GIPA Act, there is a general public interest in favour of disclosing 
government information.  Section 12(2) of the GIPA Act sets out some examples of other public 
interest considerations in favour of disclosure. However, I am not limited to those considerations in 
deciding your application. 
I find the following considerations in favour of disclosure are relevant to your application: 
• 
Disclosure could reasonably be expected to inform the public about the operations of 
the University and its policies and practices for dealing with human research ethics 
matters before it. 
• 
Disclosure could improve decision making by increasing transparency 
• 
Disclosure could also reveal the reason for decision by the University and any 
background or contextual information that informed the decision. 
4.2  Personal factors of the application 
I can also take into account any personal factors of your application, under section 55 of the GIPA 
Act.  This section of the Act does not apply to this application. 
4.3  Public interest considerations against disclosure 
When applying the public interest test, the only public interest considerations against disclosure that 
I can take into account are those set out in the table to section 14 of the GIPA Act. To show that they 
are relevant to the information you asked for, I need to consider whether they could reasonably be 
expected to have the effect outlined in the table.

The Human Research Ethics Committee exists to help students and staff do their research ethical y, 
which means respecting the rights and wellbeing of all who participate in it or may be affected by it, 
minimising any risks of potential harm, and ensuring, where possible, participants receive some 
benefit from the research. The Human Research Ethics Committee is not there to hinder research or 
make it difficult, beyond ensuring the appropriate steps are taken to ensure researchers act ethically. 
The Committee advises, comments, and reviews the methods or content of the research project(s) 
which have a bearing on the ethics of the research. 
 
Clause 1 of the table in section 14 of the GIPA Act deals with responsible and effective government - 
There is a public interest consideration against disclosure of information if disclosure of the 
information could reasonably be expected to have one or more of the fol owing effects:

research projects provided under a strictly confidential framework. The release of documents 
detailing the ethics process under the GIPA Act in effect to the world would undermine the process 
of this and future confidential communication where the guarantee of confidentiality has been 
breached. University officers, students, and individuals could be expected not to trust ethics review 
communication processes where details of applications are released. Future responses would then 
reflect this lack of trust. Macquarie University has an obligation to maintain and promote an 
environment or research integrity release of information concerning sensitive issues would have a 
detrimental effect on this obligation. Ethical review board’s feedback help ensure that a researcher 
has taken the appropriate steps to protect participant privacy and confidentiality 
 
(g)  found an action against an agency for breach of confidence or otherwise result in the 
disclosure of information provided to an agency in confidence, 
 
Ethics applications are considered confidential.  When researchers submit an ethics application to 
the Human Research Ethics Committee  (HREC) the information provided is confidential and only the 
members of the HREC and the Ethics Secretariat are able to access the information included in the 
applications. 
 
The Human Ethics Terms of Reference requires the Ethics Secretariat to keep al  documents secure 
and confidential – 
 
Clause 13.3 "Files will be kept securely and confidentially in accordance with the state and federal 
privacy legislation and the State Records Act" (p.10). 
 
The HREC must sign a confidentiality agreement prior to joining the committee: - 
 
Clause 7.4 "All members including the Chairperson and Deputy Chairs will receive a letter of 
appointment. The letter of appointment will include the date of appointment, length of tenure, 
indemnity and termination. Members will also be provided with an orientation package and wil  be 
asked to sign a confidentiality agreement which indicates that all matters of which the member 
becomes aware during the course of their work on the HREC (Medical Sciences) will be kept 
confidential and that any conflicts of interest will be declared".  
 
Clause 3 of the table in section 14 of the GIPA Act deals with Individual rights, judicial processes and 
natural Justice - There is a public interest consideration against disclosure of information if disclosure 
of the information could reasonably be expected to have one or more of the fol owing effects: 
(a) reveal an individual's personal information. 
Documents 1, 1B, 1F, 3B, 5, 5B, 7A, 9A, 11A and 13A contain information including individual names, 
financial information, employment information and other personal information. 
In circumstances where the personal information is not publicly available (and the effect of a release 
of information under GIPA is, in effect, release to the world at large) release under GIPA is a relevant 
consideration. In addition, MQ is a statutory body with obligations under the Privacy and Personal 
GIPA Act Application 25 171 Notice of Decision

Information Protection Act and the release of personal information could cause Macquarie University 
to contravene an information protection principle in that Act. 
With regard to Privileged Information, I provide the fol owing details – 
Documents 1C, 1D, and 1E contain information in the scope of your application that is of a kind 
covered by Schedule 1 of the GIPA Act. Section 14(1) of the GIPA Act states: 
 
"It is to be conclusively presumed that there is an overriding public interest against disclosure of any 
of the government information described in schedule 1." 
 
Clause 5 of Schedule 1 of the GIPA Act is as follows: 
 
"5 Legal professional privilege: 
 
(1) It is to be conclusively presumed that there is an overriding public interest against 
disclosure of information that would be privileged from production in legal proceedings on 
the ground of client legal privilege (legal professional privilege) unless the person in whose 
favour the privilege exists has waived the privilege. 
 
(2) An agency in whose favour legal professional privilege exists is required to consider 
whether it would be appropriate for the agency to waive that privilege before the agency 
refuses to provide access to government information on the basis of this clause 
 
(3) A decision that an agency makes under subclause (2) is not a reviewable decision under 
Part 5 of the Act. 
 
The information identified in the Schedule of Documents i.e., Documents 41, 49, 52, and 52A and 
part of Document 49 as being subject to Schedule 1 clause 5 are confidential communications 
between University officers and Maddocks for the sole or dominant purpose of 
the provision of legal advice and attract a claim of legal professional privilege. As required by the 
GIPA Act, I have given consideration to whether it would be appropriate for the University to waive 
its privilege. Given the confidential nature of all Legal Services Advice records and the necessary 
protection of any and all lawyer/client relationships I do not consider that it would be appropriate for 
Macquarie University waive privilege. 
 
In order for legal professional privilege to apply, each element of legal professional privilege must be 
satisfied. I find that the essential elements of legal professional privilege which derive from sections 
118 and 119 of the Evidence Act 1995 (NSW) being: 
 
•  the existence of a client and lawyer relationship 
•  the confidential nature of the communication or document, and 
•  the communication or document was brought into existence for the dominant purpose of 
either: 
•  enabling the client to obtain, or the lawyer to give legal advice or provide legal service

4.4  Consultation 
The information that you asked for includes information that is the type of information that in the 
first instance relates to the business affairs and commercial interests of a private company and in in 
the second instance relates to the affairs of the Commonwealth Government. I was therefore 
required, under section 54 of the GIPA Act, to consult with these third parties before releasing the 
information. 
There were objections to the release of the information. 
The objections do not mean that I cannot release the information. However, I must take them into 
account when making my decision. I have therefore considered them when applying and balancing 
the public interest test.   
A process of giving weight to objections has been carried out and this contributes to the public 
interest test.  
4.5  Balancing the public interest test 
I have considered the relevant public interest considerations in favour of and against disclosure of 
the information you requested. 
Having weighed up the considerations, I have decided that there is an overriding public interest 
against disclosure of some of the information. This is summarised in the attached Schedule of 
Documents.

5.1  Form of access 
You wil  be given a copy of the information that I have decided can be released. As discussed, there is 
an overriding public interest against disclosure of some but not all of the information. You will 
therefore find that some of the information has been redacted, as allowed by section 74 of the GIPA 
Act. 
5.2  Deferral of access 
Under section 78 of the GIPA Act, I have decided to defer your access to some of the information.  
This is because of the objections of two third parties please see section 5.3 for further information 
on this matter. 
5.3  Third party review rights 
As set out earlier in this Notice, I consulted with third parties about your application and they 
objected to the information being disclosed. Since I have decided to give you access to some of the 
information, despite the objections, they are entitled to ask for a review of the decision to disclose 
the information (under section 80(d) of the GIPA Act). Please see part [8] for more information about 
review rights. 
The third parties have 20 working days to ask for an internal review and I cannot release the 
information to you while their review rights are pending, or while the decision is under review. 
If a third party asks for an internal review of the decision, I will let you know.   
If a third party does not seek an internal review, I will release the information to you on 26 August 
2025.
